         Pursuant to a notice posted on April 4, 2003, the House  
         Committee on Business & Industry met in a public hearing and was  
         called to order by the chair, Representative Giddings, at 9:00  
         a.m. 
          
         The roll was answered as follows: 
          
         Present:  Representatives Giddings; Elkins; Kolkhorst; Bohac;  
                   Zedler (5). 
          
         Absent:   Representatives Martinez Fischer; Moreno, Joe E.;  
                   Oliveira; Solomons (4). 
          
         A quorum was present.

         Discussion on need for codification of business organization  
         law. 
          
         Testimony was taken.  (See attached witness list.) 
          
         SB 504 
          
         The chair laid out SB 504, the companion to HB 1272. 
          
         The chair recognized Representative Kolkhorst to explain the  
         measure.  
          
         The chair recognized Representative Kolkhorst to close on the  
         measure.  
          
         Representative Elkins offered an amendment to the measure.  
          
         The amendment was adopted without objection. 
          
         Representative Elkins moved that SB 504, as amended, be reported  
         favorably to the full house with the recommendation that it do  
         pass and be printed and be sent to the Committee on Local and  
         Consent Calendars. The motion prevailed by the following record  
         vote:  
          
         Ayes:               Representatives Giddings; Elkins; Kolkhorst;  
                             Bohac; Moreno, Joe E. (5).  
           
         Nays:               None (0).  
           
         Present, Not Voting:     None  (0).
